FFI Completes PEO Acquisition
INDIANAPOLIS, April 16 /PRNewswire-FirstCall/ -- Fortune Industries, Inc. announces that it has completed its acquisition of Employer Solutions Group (ESG) of Salt Lake City, Utah. This is the second PEO acquisition in the past 90 days by Fortune Industries.
ESG is a full service Professional Employer Organization (PEO) servicing small to mid-size businesses in the Salt Lake City and Loveland/Denver metropolitan markets. ESG provides human resource management services to approximately 375 clients and 6,700 worksite employees. Services include payroll and benefits administration, health and workers' compensation insurance management, human resource management and consulting, training, testing, development and assessment services and insurance brokerage services. ESG will retain its local headquarters in Salt Lake City and regional office in Loveland, Colorado.
"This acquisition affirms our strategy of redeploying cash flows, created by our recent cost reduction initiatives within certain other segments of our company, to acquiring PEO's," stated John Fisbeck, CEO. "The acquisition of ESG strengthens our position as one of the leading PEO providers in the nation and increases our total PEO worksite employees to approximately 16,000 participants and annual payroll to over $640 million."
Mr. Fisbeck commented, "Projected consolidated revenue for Fortune Industries is in excess of $200 million for our fiscal year 2008, which begins September 1, 2007. Our PEO segment revenue is estimated at $110 to $130 million or 55%-65% of consolidated revenue.
"With this acquisition we have the opportunity to create significant economies of scale through vendor discounts, diversification of risk pools, and increases in technological offerings," continued Fisbeck. "This will allow us to capture a larger percentage of this rapidly expanding market, with current historical annual growth rates of 20%."
Fisbeck further stated, "Based on several valuation models, taking our PEO segment by itself, our stock is significantly undervalued in the marketplace today as compared to our PEO peers. We will evaluate a spin-off of our PEO segment into a separate public company as one option to realize value for our shareholders."
The transaction value of $11.2 million will be paid in stock and cash. Capital Alliance Group served as the broker of record. Cash of $9.1 million will be financed out of the Company's existing line of credit. A portion of the stock is subject to future earning contingencies.

The ISAN-IA, which coordinates a globally recognized identification system for audiovisual works, will make the Microsoft(R)-developed bar code available to other organizations for use in tracking, helping protect and manage their audiovisual content. The new multicolor bar code is expected to start appearing on DVD media toward the end of 2007. ISAN-IA also said several of its registration agencies will use the innovative technology to help their customers derive more accountability and value from their media asset libraries.
"The capability of these new bar codes to store more data in a smaller space should provide a rich resource for the industry and consumers alike," said Gavin Jancke, director of engineering for Microsoft Research and inventor of the HCCB format. "The new code offers several advantages over existing black-and-white bar codes most people are accustomed to seeing on product packages, enabling new consumer experiences, more visual appeal where aesthetics are important and the ability to incorporate advanced security features."
Current ISAN codes allow an audiovisual work to be uniquely distinguished from other works through a simple identification system, but they do not allow additional features or functions to be incorporated. Microsoft's new multicolor bar code will enable the inclusion of more data in the code itself, as well as the ability for consumers to interact with it by scanning the code with webcams and, eventually, cell phones with color cameras.
For audiovisual publishers, identification and tracking technologies will provide detailed data that can aid in royalty payments, anti-counterfeiting efforts, market analysis and a host of other business functions. For consumers, the new bar codes can be combined with Web services to offer enhanced information such as product versioning, ratings identification, parental control, product availability, special releases, contests, pricing and promotions. Software to be made available from Microsoft and ISAN-IA will interpret the bar codes and will be integrated with Web services to enable these interactions.
The services enabled by HCCB are expected to become more prevalent as lens quality advances in cell phones to capture these small bar codes. For existing cell phones to read a black-and-white bar code, a practice that is widespread in Japan, the code must be larger than 1.5 by 1.5 inches in size. The use of those codes is impractical in small spaces or where visual appeal is important. Eventually, consumers should be able to scan the new, smaller bar codes directly from television, phone or PC screens; movie posters; DVD and CD jewel cases; magazine ads; billboards; and a host of other platforms to retrieve additional information.
New security features can also be incorporated into Microsoft's multicolor bar code. DatatraceDNA plans to provide technology for anti-counterfeiting security protection features through nanotechnology that is invisibly embedded within the material and ink of the Microsoft bar code and product packaging.
This unique combination of technologies will allow ISAN-IA to offer media publishers the ability to connect to consumers using interactive services and provide counterfeit protection in a single package.

The solution, which is based on Microsoft(R) SQL Server(TM) 2005 and was
developed in collaboration with Microsoft's partner, RDB & Open Systems, will
allow customer banks to run credit risk analysis, provide certified data and
reports to their risk management desks, and collect and manage all the
required information to comply with the EU financial markets directive.
The project, which started in May 2006, is part of SEC SERVIZI's

Texas Instruments and Techwell Collaborate on Video Security Technology Based on DaVinci(TM) Platform Offering OEMs Robust Solution for Low-Cost DVRsSee Demo of DVR Security Technology at SecuTech Expo
TAIPEI, Taiwan, April 16 /PRNewswire/ -- Bringing more flexibility and features to low-end video security applications, Texas Instruments Incorporated (TI) and Techwell, Inc. , have collaborated to create technology for low-cost digital video recorder (DVR) security systems. The solution, which combines TI's TMS320DM6446 digital video processor based on DaVinci(TM) technology with the four-channel video and audio controller from Techwell, will help manufacturers of video security systems realize the implementation of their next generation, low-cost DVR products. The DVR security demo provides a basis for the development of security applications using video recording and multiple camera sources. The demo is based on TI's high-performance DM6446 digital media processor, which adapts TI's industry-leading digital signal processing technology to the data- intensive requirements of video applications. The demo connects the DM6446 evaluation module (EVM) to Techwell's TW2835 Video and Audio decoder, which produces four channels of video output at CIF resolution (352×288 pixels). In order to minimize bandwidth and storage requirements, each channel is compressed using the MPEG-4 algorithm at 30 frames per second. The TW2835 multiplexes the four channels as an input for the DM6446, which reads and processes the information through a single, high-speed video port.
