KEMET Announces Commitment for New Medium-Term Credit Facility- Six-Year Term Loan priced at EURIBOR + 1.70%- New Credit Facility will replace existing short-term credit facilities
GREENVILLE, S.C., June 3 /PRNewswire-FirstCall/ -- KEMET Corporation today announced that it has reached agreement on the terms of a new medium-term credit facility in the principal amount of EUR 95.0 million with UniCredit Corporate Banking S.p.A. ("UniCredit"), a financial institution headquartered in Italy and part of the Milan-based UniCredit Group. KEMET has received a Commitment Letter from UniCredit, and is in the process of finalizing the definitive loan documentation with the bank.
Under the terms of the new credit facility, KEMET will repay the principal amount in equal, semi-annual installments during the six-year term. The credit facility will be priced at EURIBOR + 1.70%, and will be unsecured. The use of proceeds from the new credit facility will be to refinance two existing short-term credit facilities with UniCredit totaling EUR 96.8 million and currently scheduled to mature in December 2008 and April 2009.

S&G Company Completes Acquisition of Peak International Limited
HAMILTON, Bermuda, June 3 /PRNewswire-FirstCall/ -- S&G Company, Ltd., a leading supplier of plastic extrusion and thermoform molded products for the semiconductor industry announced today that it has completed its acquisition of Peak International Limited , a leading supplier of precision-engineered packaging products.
As previously announced on March 27, 2008, the two companies signed an agreement and plan of amalgamation, pursuant to which Peak shareholders are entitled to receive $2.00 per share in cash for each share of Peak common stock they hold, for a total consideration of approximately $24.8 million. Peak's common stock will cease to trade on the Nasdaq national market at the close of business today and will be delisted.

TV Choice and Competition Near for Residents of the Town of Babylon, and Villages of Roslyn and Manorhaven, N.Y.Communities Approve Video Franchises for Verizon
NEW YORK, June 3 /PRNewswire/ -- Residents of the Suffolk County Town of Babylon and the Nassau County villages of Roslyn and Manorhaven are a major step closer to having a real choice for their cable television service, thanks to newly approved agreements authorizing Verizon to offer its FiOS TV service, delivered over the most advanced fiber-optic network straight to customers' homes.
The Babylon Town Board granted video a franchise to Verizon Tuesday (June 3), paving the way for video choice in the nine communities that fall under the franchise agreement. Those communities are: Copaigue, Deer Park, East Farmingdale, North Amityville, North Babylon, North Lindenhurst, West Babylon, Wheatley Heights and Wyandanch.
The Village of Roslyn voted in favor of a franchise for Verizon on May 20, and the Village of Manorhaven followed suit on May 29.
The three new franchises bring to 119 the total number of New York municipalities that have approved video franchises for Verizon.
"This is great news for residents of Roslyn, Manorhaven and the nine communities within the Town of Babylon, who now will have a new choice for their video entertainment," said Monica Azare, Verizon senior vice president for New York and Connecticut.

As with all local franchise approvals in New York, the agreements between Verizon and the villages of Roslyn and Manorhaven and the Town of Babylon are subject to review by the New York State Public Service Commission.

Wherify Wireless Announces Letter of Intent to Merge with Lightyear Network Solutions
SAN MATEO, Calif., June 3 /PRNewswire-FirstCall/ -- Wherify Wireless, Inc. (BULLETIN BOARD: WFYW) , home of the award winning Wherifone GPS Locator Phone and the Springboard Location Based Services Platform, today announced that it has entered into a non-binding letter of intent with Lightyear Network Solutions, Inc. to merge its business into Wherify.
The proposed merger of Wherify and Lightyear would be conditioned on, among other things, negotiation and execution of a definitive agreement, approval of the merger by the shareholders of both companies, obtaining a minimum of $15 million in new equity capital and restructuring of existing debt. The letter of intent specifies that no more than $2.5 million of the new equity capital would be used to restructure Wherify's current unsecured liabilities (approximately $16 million) and $2.5 million of such equity capital would be used to restructure Wherify's secured debt with Yorkville Associates. The letter of intent contemplates that the combined company would retain approximately $2.5 million of secured debt with Yorkville Associates. After repayment of approximately $800,000 of expected new bridge indebtedness and payment of transaction expenses and associated legal fees, the combined company would have approximately, $6.5 million in working capital. Wherify has not yet obtained binding commitments for the bridge financing, equity financing or debt restructuring. There is also no guaranty or assurance that the final restructuring terms, if any, will not be materially different upon further negotiations and due diligence.
Wherify, a pioneer in the rapidly emerging location based service business, is in the process of completing its proprietary location based service platform, Springboard. The Springboard platform is being designed to enable mobile communications carriers, mobile application providers and mobile device manufacturers to develop a wide array of location based services applications for their products, such as mobile social networking, mobile community search and shopping and fleet management. Springboard technology includes support of both GPS and non GPS equipped devices.
Lightyear, a closely-held private company, is a business and network service solutions company generating annual revenues in 2007 of approximately $65 million with an EBITDA of $2.2 million. Lightyear provides a host of telecom products and services for business and individual customers, including, among other things, integrated network access service for voice, data, private lines, VoIP services to over 4,000 business enterprise clients nationally. Sherman Henderson, Lightyear's President and CEO and the six-year incumbent chairman of COMPTEL, said, "Merging the unique location based services platform from Wherify with Lightyear's strong customer service focus, our potent multi-channel distribution network and our strong telecom industry relationships has the potential to geometrically enhance the combined company's business prospects."

If the merger is completed as contemplated in the letter of intent, Mr. Henderson would be named the Chairman and CEO of Wherify, and Wherify would change its name to Lightyear Network Solutions. Under the present terms of the non binding letter of intent, Lightyear shareholders would receive approximately 51% of the pro-forma fully-diluted shares outstanding on the closing date of the merger and will have the right to choose 60% of the Board of Directors.
To facilitate the combination, Yorkville Advisors and Wherify entered into a forbearance agreement on May 19, 2008 under which Yorkville Advisors agreed in principal to the terms of the letter of intent and to forbear from exercising its rights and remedies under its secured debenture with Wherify.

Verizon Matches Employee Donations Dollar for Dollar to Aid Disaster Victims in China and Myanmar
BASKING RIDGE, N.J., June 3 /PRNewswire/ -- The Verizon Foundation has started a 1-to-1 match for every dollar donated by Verizon employees to aid victims of the cyclones in Myanmar and the earthquake in the Sichuan province of China.
The foundation will match individual employee contributions of up to $1,000 per employee.

For fiscal year 2007, shareholders will receive a dividend of euro 0.50 per ordinary share. This is a 9 percent increase over the previous year's dividend. For 2007, SAP will pay out a total of approximately euro 594 million (previous year: euro 556 million), which equates to a dividend payout ratio of approximately 31 percent of SAP's net income. Payment of the dividend is scheduled with effect from June 4, 2008.
Further, the annual general meeting of shareholders elected Bernard Liautaud to the Supervisory Board. Bernard Liautaud was a co-founder of Business Objects S.A. in 1990. Under his leadership as Chairman and Chief Executive Officer (CEO), the firm became a leading provider of business intelligence solutions worldwide. NEW YORK, June 3 /PRNewswire/ -- Stating that "parents will not feel comfortable with their children's embrace of technology unless they know their children are safe," Verizon Communications Chairman and Chief Executive Officer Ivan Seidenberg announced plans Tuesday (June 3) to provide free online parental controls to Verizon consumer broadband customers.
Seidenberg made the announcement at WiredSafety's Stop Cyberbullying Conference at the Schimmel Theater at Pace University. The two-day event is designed to raise awareness of cyberbullying and to encourage parents, children, educators and others to get involved in combating the problem.
Among the parental tools that Verizon will soon make available are:
* A content blocker that will allow parents to prevent children from
viewing selected topics on the Internet.
* Application filters that will allow parents to limit access to
applications they do not want their children to use.
* The ability for parents to designate specific time periods when the
Internet or certain functions cannot be used.
