Novellus Systems Reports Second Quarter Results
SAN JOSE, Calif., July 14 /PRNewswire-FirstCall/ -- Novellus Systems, Inc. today reported net sales and results of operations for its second quarter ended June 28, 2008. Net sales for the second quarter were $257.7 million, down $57.0 million or 18.1 percent from first quarter 2008 net sales of $314.7 million, and down $158.6 million or 38.1 percent from second quarter 2007 net sales of $416.3 million. Net loss for the second quarter was $2.4 million, or $0.02 per share, down $17.9 million from first quarter 2008 net income of $15.5 million, and down $59.7 million from second quarter 2007 net income of $57.3 million.
The second quarter 2008 results of operations include $13.6 million of impairment and severance charges as a result of strategic decisions to focus on our core products and reduce our cost structure going forward. Of these charges, $6.5 million are in cost of sales, $4.3 million are in research and development and $2.8 million are in selling, general and administrative. Second quarter 2008 net income without those items was $6.2 million or $0.06 per diluted share. Excluding certain unusual charges, first quarter 2008 and second quarter 2007 net income were $15.9 million and $57.5 million, respectively, or $0.16 and $0.45 per diluted share, respectively. A reconciliation of pro forma operating results to U.S. generally accepted accounting principles ("GAAP") is included below.
Bookings in second quarter 2008 were $234.6 million, down $62.4 million or 21.0 percent from first quarter 2008 bookings of $297.0 million. Shipments of $240.3 million in second quarter 2008 decreased by $72.5 million or 23.2 percent from $312.9 million reported for the first quarter of 2008. Deferred revenue at the end of the second quarter was $95.7 million, a decrease of $20.0 million or 17.3 percent from $115.7 million at the end of the first quarter of 2008.
Cash, cash equivalents, investments and restricted cash as of June 28, 2008 were $708.7 million, an increase of $132.4 million or 23.0 percent from the first quarter 2008 ending balance of $576.4 million. During the second quarter 2008, we purchased approximately 0.5 million shares of our common stock, at an average price of $21.97 per share, for $10.0 million.
Management uses non-GAAP measures to evaluate operating performance. The presentation of net income excluding certain charges, and the discussion of revenue on a shipments basis are not in accordance with GAAP and may differ from non-GAAP methods of accounting and reporting used by other companies. We present net income on a pro forma basis, excluding certain charges, because we believe this helps both management and investors to assess the operating performance of our business by comparing it to prior periods on a more consistent basis. A reconciliation between our GAAP and non-GAAP results is provided in an attached table. Non-GAAP numbers are merely a supplement to, and not a replacement for, GAAP financial measures.

CSC Receives $391 Million EAGLE Task Order From Department of Homeland Security
FALLS CHURCH, Va., July 14 /PRNewswire-FirstCall/ -- CSC announced today that the U.S. Department of Homeland Security (DHS) has awarded the company a task order to provide secure managed data center services. The contract has a six-month base period and six one-year options. A two-year option may be exercised in place of the sixth one-year option, bringing the estimated total contract value to $391 million. The DHS awarded the task to CSC under the Enterprise Acquisition Gateway for Leading Edge Solutions (EAGLE). CSC was one of several large businesses awarded an EAGLE contract on June 29, 2006, which was announced by CSC shortly thereafter. The value of the award was included in a subsequent fiscal 2007 press release of unidentified and previously unannounced federal awards.
Under the task order, CSC will provide information technology (IT) managed services, including consolidation, transformation and virtualization, in support of the operation and maintenance of the primary DHS data center at NASA's Stennis Space Center. This work expands upon CSC's existing work in Mississippi and is part of the Department's consolidated IT Infrastructure Transformation Program, which will ultimately enable the DHS to effectively consolidate its data centers into two enterprise-wide locations. In addition, CSC will assess DHS component agency applications as the Department prepares to migrate to the Stennis data center.

From the Netflix Web site, subscribers simply add movies and TV episodes to their instant Queue, which will appear automatically on the TV screen via Xbox 360. Once selected, movies will begin playing in as little as 30 seconds. China Information Security Technology, Inc. CEO Closes on Equity Transfer Agreement to Purchase Remaining Interest in iASPEC

Microsoft Sets the Record Straight
REDMOND, Wash., July 14 /PRNewswire-FirstCall/ -- On the evening of July 12, Yahoo! Inc. released a statement relating to recent discussions involving Yahoo!, Microsoft Corp., and Carl Icahn. Microsoft believes the statement contains inaccuracies that need to be corrected. Among other things, the enhanced proposal for an alternate search transaction that we submitted late Friday was submitted at the request of Yahoo! Specifically, on Thursday afternoon, July 10, Mr. Bostock called Steve Ballmer's office to arrange a call. On that subsequent call, Mr. Bostock told Mr. Ballmer that "with substantial guarantees on the table and an increase in the TAC (traffic acquisition cost) rate, there are the pillars of a search only deal to be done." Mr. Bostock encouraged Mr. Ballmer to submit a new proposal to Yahoo! for a search-only deal reflecting these terms.
After considering Yahoo!'s request and taking into account Yahoo!'s previous feedback about our prior search proposal, Microsoft determined late Friday to propose an enhanced search transaction. This proposal included significant revenue guarantees, higher TAC rates, an equity investment and an option for Yahoo! to extend the agreement over a 10-year period. Microsoft's proposal did not include changes to Yahoo!'s governance.
At the time Microsoft submitted its enhanced proposal, Microsoft asked that Yahoo! confirm whether it would agree that the enhancements were sufficient to form the basis for the parties to engage in negotiations over the weekend on a letter of intent and more detailed term sheets. This discussion has been mischaracterized as a take it or leave it ultimatum, rather than a timetable in order to move forward to intensive negotiations. Yahoo! informed Microsoft on Saturday that it had rejected the proposal.

FREMONT, Calif., July 14 /PRNewswire-FirstCall/ -- Exar Corporation released two highly integrated, superior performing low voltage/power eight-channel UARTs -- the XR16M598 (16-Byte FIFO) and XR16M698 (32-Byte FIFO). The XR16M598/M698 series, integrated with an array of advanced features, is ideal for a wide variety of products such as next generation portable consumer devices, Point-of-Sale (POS), servers, industrial automation, ticketing machines, and public parking systems.

Series Details
The XR16M598/698 has a patented approach for global interrupt status registers that uses four registers. The first register identifies the interrupting UART channels. The three remaining registers use Exar's patented 3-bit status encoding which specifies the highest priority interrupt for each channel, thus enabling the software to quickly identify and service any pending interrupts. Additionally, system architects can take advantage of the fifth generation (5G) flat register set that simplifies software initialization during the initial design phase.
Traditional UARTs require one chip select and one interrupt line per channel. The XR16M598/M698 series requires only one chip select and one interrupt line per device thus greatly simplifying the hardware design. In addition, the integrated fractional baud rate generator (FBRG) gives the hardware designer the flexibility to use a clock source that may already be utilized by other board components to generate the desired baud rates. This FBRG eliminates the need for an extra crystal or external clock source.
Interface Products

Verizon Makes Digital Television Upgrade Easy for FiOS TV Customers in Maryland and Northern VirginiaOnly Verizon Delivers All-Digital TV Over the Nation's Most Advanced Fiber-Optic Network, Straight to Customers' Doors
SILVER SPRING, Md., July 14 /PRNewswire/ -- With the federal mandate to phase out analog television broadcasts approaching in early 2009, many consumers remain uncertain of what the change means for them. However, Verizon FiOS TV customers are ahead of the game. Verizon FiOS TV is already all-digital, so for most customers there will be no change. At the same time, Verizon is making other changes, and it is taking steps to ensure that customers are not confused by the phaseout of analog broadcasts.
Verizon is phasing out a small number of duplicate analog channels on the FiOS TV service so all customers will enjoy better-quality, all-digital viewing experiences on every set in their homes. Until now, Verizon has provided these duplicate channels to allow digital subscribers to view some limited programming in an analog format without using a set-top box.
The company also has a small number of customers who subscribe to a service that solely offers these duplicate analog channels. Verizon will make the digital transition easy for these customers by providing them with a free digital adapter.
"As we phase out our local analog simulcasts this year, we want to make sure that our small number of affected customers can continue receiving this programming on sets they are using without a set-top box," said Mary Ellen Payne, vice president of sales and marketing for Verizon's Potomac region. "We're reaching out to those customers now to help them get their free digital adapter from us so they can enjoy high-quality digital programming on every set in the home."
Customers also may choose to upgrade to a set-top box that lets them see more programming, including high-definition channels, and enables full-featured, interactive services, like extensive video-on-demand programming and Verizon's innovative interactive media guide.
Verizon is phasing out the analog channels on a regional basis. FiOS TV customers in Maryland and Northern Virginia will see the transition starting July 21. Customers have been notified well in advance by letters, e-mails and phone calls from Verizon. BB&T introduces new commercial deposit service to process cash, check deposits across nation
WINSTON-SALEM, N.C., July 14 /PRNewswire-FirstCall/ -- BB&T Corporation today said it has introduced a new service that will allow it to accept and process large cash or check deposits from commercial clients operating anywhere in the continental United States.
Vault360 is designed for "cash-heavy" retailers, such as grocery store and restaurant chains that use armored couriers to deliver their deposits to the bank. The new service allows clients to make all of those deposits with BB&T even if they operate outside of BB&T's 11-state footprint.
