    SteelCloud Receives Marketplace Rule 4310(c)(3) Notice

    HERNDON, Va., March 27 /PRNewswire-FirstCall/ -- SteelCloud, Inc. , an integrator of network-centric, embedded computing appliances, and professional services today announced that on March 23, 2009, the Company was notified by NASDAQ that it is no longer in compliance with Marketplace Rule 4310(c)(3), which requires the Company to have a minimum of $2.5 million in stockholders' equity, $35 million market capitalization, or $500,000 of net income from continuing operations for the most recently completed fiscal year or two of the three most recently completed fiscal years. Compliance with this Marketplace Rule is a condition for the continued NASDAQ listing of the Company's securities.

    NASDAQ staff has requested that, on or before April 7, 2009 the Company submit its specific plan to achieve and sustain compliance with all listing requirements, including the time frame for completion of the plan. SteelCloud expects to submit its plan to NASDAQ on or before April 7, 2009.

    Logility Comments on Proposed American Software Tender Offer

    ATLANTA, March 27 /PRNewswire-FirstCall/ -- In response to the announcement on Wednesday, March 18, 2009, by American Software, Inc. that it plans to commence a cash tender offer for all outstanding Logility, Inc. shares not already owned by American Software, Logility announced today that American Software's offer will be considered by a special committee comprised solely of its independent directors (the "Special Committee").

    The Special Committee has retained Jones Day as its legal counsel and has appointed VRA Partners, LLC as its independent financial advisor, to assist the Special Committee in evaluating the proposed tender offer.

    SAN FRANCISCO, March 27 /PRNewswire/ -- Biotechnology Value Fund, L.P. ("BVF"), today announced that stockholders of Avigen voted overwhelmingly to remove the existing Board of Directors of Avigen and replace them with BVF's nominees. The vote took place earlier today at the special meeting of Avigen stockholders called by BVF. The preliminary vote count was approximately 58% in favor of removing Avigen's entire Board and 12% against removal.

    Additionally, yesterday Avigen finally offered what BVF and stockholders have consistently sought but Avigen had steadfastly resisted: quantified downside protection. Specifically, Avigen announced yesterday that it would terminate merger discussions, implement a plan of liquidation and return at least $1.20 per share to all stockholders. BVF supports Avigen's decision, albeit a late one, and intends to work constructively with the Board to maximize the return to stockholders. Since the removal of the Board required the affirmative vote of 66 2/3% of the outstanding shares -- a very high hurdle -- the existing Board will remain in office and manage the liquidation.

    Raytheon Standard Missile-2 Demonstrates Sea-Based Terminal, Fleet Protection

    POINT MUGU, Calif., March 27, 2009 /PRNewswire-FirstCall/ -- A Raytheon Company Standard Missile-2 Block IV missile intercepted and destroyed a ballistic missile target at the U.S. Naval Air Warfare Center Weapons Division. The SM-2 Block IV engagement demonstrated a near-term, sea-based capability for destroying short-range ballistic missiles in their terminal or final phase of flight.

    During the same test, a Raytheon SM-2 Block IIIA missile intercepted and destroyed a low-altitude, anti-ship cruise missile target. The first-of-its-kind test simultaneously demonstrated an air warfare capability against a low-altitude, anti-ship cruise missile and a ship system engagement capability.

    The crew of the guided missile destroyer USS Benfold (DDG-65) fired both SM-2 surface-to-air missiles. The ballistic missile target was launched from San Nicolas Island, Calif., while the anti-ship cruise missile target was launched from Point Mugu.

Colleen McMahon in the Southern District Court of New York in its patent infringement lawsuit vs. Tacoda, Inc., filed on August 9, 2007 seeking injunctive relief and unspecified damages.

    In patent litigation, Markman hearings are used for claim construction. Typically, the plaintiff and defendant set out a list of claim terms whose definitions are in dispute. To clarify the meaning of these terms (and subsequently the scope and validity of the patents), a judge weighs evidence and definitions as presented by the plaintiff and defendant and makes a ruling in the form of a Markman Order.

    The five terms disputed within the claims construction and presented at the Markman Hearing have been ruled upon by the Court. The judge has also provided additional time for the inclusion of expert testimony and introduction of extrinsic evidence regarding the term 'functionality'.
