Lockheed Martin to Purchase Manufacturing Technology Facility in Johnstown PA, From Concurrent Technologies Corporation
JOHNSTOWN, Pa., May 29 /PRNewswire-FirstCall/ -- Lockheed Martin and Concurrent Technologies Corporation (CTC) today signed a memorandum announcing the plans for Lockheed Martin AeroParts, Inc. (LMAPI) to purchase a facility now owned by CTC.
The Manufacturing Technology Facility (MTF), 211 Industrial Park Road, Johnstown, Pa., is a 197,041 square-foot facility located in Johnstown's Industrial Park. The building has 78,224 square feet of laboratory and demonstration factory space, including several 5 and 10-ton cranes, a shipping and receiving area, and loading docks.
The rest of the building (118,817 square feet) is office space, including conference/training rooms, private and open offices, common space and restrooms. Most of the office space was added to the original building in the early 1990s.
"The benefits of this transaction will result in a number of positive impacts to CTC's operations, both from efficiency and cost perspectives," said Edward J. Sheehan, Jr., president and chief executive officer, CTC.
"CTC is helping to create space for 165 new jobs in the region. We will relocate the CTC employees who are currently in the Manufacturing Technology Facility to our Environmental Technology Facility and our Systems Technology Facility, and still have enough room for growth. The transition of CTC equipment and personnel will be phased over the course of the year. We will decrease our operating expenses which will increase our market competitiveness and thereby help to add more staff here," Sheehan said.
"We have been in discussions for several months about opportunities for Lockheed Martin to use available space in CTC's Manufacturing Technology Facility to support our business needs," said Rebecca Styles, LMAPI president and general manager.
LMAPI's main location is a 72,000-square-foot Lockheed Martin-owned building on approximately eight acres. This facility was built and opened in 1990. In addition, the facility has occupied a 20,000-square-foot leased warehouse for the past five years. In 2009 that lease was expanded to 34,000 square feet to incorporate light production at that off-site location.
"Initially, we had plans of leasing the facility, but as our negotiations continued we came to realize that it would be mutually beneficial for Lockheed Martin to purchase the building from CTC. We are looking forward to completing the acquisition later this year," Styles said.
"This agreement between Lockheed Martin and CTC demonstrates how organizations are working together to bring new jobs to our region," stated U.S. Representative John P. Murtha (D-PA 12). "I'm proud of these collaborations and the good paying jobs and economic development they produce," Murtha added.
"The cost savings associated with the relocation will positively impact our competitiveness in the market place and position the company for expected growth in Johnstown and other locations," Sheehan concluded.
This new facility will be used to accommodate the increased production rate of the C-130J Super Hercules and the F-35 Lightning II. Details on the costs of the facility are being finalized.

Pinnacle Fund Issues Letter to Asure Software to Nominate Directors for Election at the 2009 Annual Meeting
NEW YORK, May 29 /PRNewswire/ -- Pinnacle Fund (controlled by Pinnacle Partners, LLC which is partly controlled by Red Oak Partners, LLC) announced today that on May 28, 2009 it sent a letter stating its intent to nominate Directors for election to Asure Software's ("ASUR's" or the "Company's") Board of Directors at the 2009 Annual Meeting. Pinnacle and Red Oak believe this slate of nominees - all directly referred by significant ASUR shareholders - possess more direct payroll industry experience, more direct Iemployee experience (including two former Iemployee Board members), and greater experience in valuing companies than ASUR's current Board.
Pinnacle notes that, ASUR management publicly confirmed its intent to hold a timely Annual Meeting in both its first and second quarter public earnings conference calls held in December 2008 and in March 2009, respectively. In the December 2008 call, ASUR stated that they would hold an Annual meeting in the March or April timeframe and in the March 2009 conference call they stated they would hold it in the May/ June/ July time-frame. To-date, ASUR's Board has failed to call or indicate its intention to call a 2009 Annual Meeting and has instead pushed aggressively for a Go-Private transaction which Pinnacle and Red Oak continue to believe deserves to be rejected and is not in shareholders' best interests. Pinnacle sent its notice now because, despite the Annual Meeting not being called, the restrictions in ASUR's charter and bylaws provide for a May 30, 2009 cutoff date for stockholders to give notice they will nominate directors.

Fusion Notifies NYSE Amex of Its Intention to Voluntarily Delist From the Exchange
NEW YORK, May 29 /PRNewswire-FirstCall/ -- Fusion (NYSE Amex: FSN) today announced that it has notified the NYSE Amex Exchange of its intention to voluntarily withdraw its securities from listing on the NYSE Amex Exchange and to de-register from Section 12(b) of the Exchange Act. The Company intends to file a notification on Form 25 with the Securities and Exchange Commission after ten days pursuant to Rule 12d2-2 of the Securities Exchange Act of 1934. It is expected that the delisting will become effective ten days following the filing of the Form 25, and that Section 12(b) deregistration will become effective 90 days after filing. The Exchange had previously notified the Company of its intent to delist the Company's securities due to non-compliance with Sections 1003(a)(i), (a)(ii), (a)(iii), a(iv) and 1003(f)(v) of the Company Guide. However, the decision of an appeals panel who heard the Company's appeal of the Exchange's notice stayed delisting, subject to the Company's timely achievement of certain milestones established by the panel.

DALLAS, May 29 /PRNewswire/ -- Texas Instruments Chairman, President and CEO, Rich Templeton recognized 35 recipients of the National Merit Jerry R. Junkins Scholarship at a luncheon on May 28 at the company's headquarters in Dallas. CenturyTel and EMBARQ Receive All Necessary State Approvals for MergerOnly FCC Approval Remains
MONROE, La. and OVERLAND PARK, Kan., May 29 /PRNewswire-FirstCall/ -- CenturyTel, Inc. and EMBARQ today announced that CenturyTel's pending acquisition of EMBARQ has received approval from the Pennsylvania Public Utility Commission and the Washington Utilities and Transportation Commission. The merger now has received all necessary approvals from the states in which CenturyTel and EMBARQ provide local service. The only remaining regulatory approval required to complete the transaction is that of the Federal Communications Commission (FCC).

The new Server Consolidation and Migration Services offering, which includes patent-pending technology, can dramatically reduce the time and effort in moving applications from siloed, inefficiently used servers to a more cost-effective and easier-to-manage IBM mainframe infrastructure.
IBM also announced a program -- z Rewards -- that offers financial incentives to help customers take advantage of these migration services.
IBM's introduction of The Server Consolidation and Migration Services reflects continued investment by IBM in Linux on System z. Nearly 2,800 of the 5,000 unique applications available on the System z platform are Linux-based. Linux accounted for about half of the roughly 1,000 new or updated applications produced for the IBM mainframe in 2008. More than 40 percent of new System z customers last year installed Linux.
The System z Linux environment has proven popular with businesses as a means to consolidate workloads and deploy new mission-critical mainframe applications that are well suited for Linux. Often, these Linux applications on System z work in concert with the z/OS environment to enable an end-to-end solution within the same mainframe.
The Server Consolidation and Migration Services originated in IBM's Global Technology Services unit and has been used successfully in IBM's own data center consolidation efforts.
By replacing slow, manual methods with an automated solution, The Server Consolidation and Migration Services can reduce server consolidation and application migration efforts from months to weeks.
Under the new z Rewards program, companies that purchase or upgrade to a new qualifying z10 Enterprise Class or Business Class mainframe in order to consolidate competitive Sun and HP systems can earn points that can be redeemed for certain IBM migration services.

Raytheon Provides Security Support for Indianapolis 500
TEWKSBURY, Mass., May 29, 2009 /PRNewswire/ -- Raytheon Company deployed a system to provide enhanced security and situational awareness support during the 93rd running of the Indianapolis 500 May 24.
The system, operational throughout the Indy 500 weekend, was used to demonstrate and identify opportunities to augment security operations and communications in support of the largest, single-day sporting event in the world.
It consisted of a 17-meter (approximately 56-foot) aerostat equipped with a sensor package that relayed real-time information to the command center within the Indianapolis Motor Speedway. The system's primary payload is an electro optical-infrared sensor and can be complemented with other stand-alone capabilities, such as radio frequency data and video transmission, acoustic detection, flash detection and elevated communications relay.
The system is similar to the combat-proven systems currently deployed in Iraq and Afghanistan that provide security to warfighters, further enhancing both the foreign and domestic components of national security.
The demonstration was conducted as a joint effort with Indy Racing League (IRL), Indianapolis Motor Speedway (IMS), the University of Southern Mississippi's National Center for Spectator Sports Safety and Security (NCS4), and TCOM. The demonstration provided the IRL and IMS security teams enhanced situational awareness throughout the weekend events. This capability allowed the security teams to identify and respond quickly to safety and security incidents if they had occurred.
